Welcome to Thirumanam Matrimony Services (“Company”, “we”, “our”, “us”).

These Terms govern your access to and use of the website located at www.thirumanammatrimony.online, all associated mobile applications (if any), software, communication tools and any related services provided by the Company (collectively, the “Platform”).

By accessing, browsing, registering an account, purchasing a membership or otherwise using the Platform, you acknowledge that you have read, understood and agreed to be legally bound by these Terms, our Privacy Policy and any other policies, guidelines or notices published on the Platform from time to time. If you do not agree to these Terms, you must immediately discontinue your use of the Platform.

1. Definitions

Unless the context otherwise requires, the following expressions shall have the meanings set out below:

"Account" means the registered account created by a User for the purpose of accessing and using the Platform.

"Applicable Laws" means all statutes, regulations, subsidiary legislation, directives, codes of practice and governmental requirements applicable in Malaysia or any jurisdiction where the Platform is made available.

"Company" means Thirumanam Matrimony Services by Amala Bridal., the owner and operator of Thirumanam Matrimony Services.

"Content" includes text, photographs, videos, audio recordings, profile information, messages, comments, reviews, documents and any other information uploaded, submitted or transmitted through the Platform.

"Member" means a registered user of the Platform, whether holding a free or paid membership.

"Paid Membership" means any subscription plan requiring payment in exchange for access to premium features offered by the Platform.

"Personal Data" shall have the meaning assigned to it under the Personal Data Protection Act 2010.

"Platform" means the Thirumanam Matrimony Services website, any associated mobile applications, software and all services made available by the Company.

"Profile" means the matrimonial profile created by a Member containing personal particulars, photographs, preferences and any other information submitted by the Member.

"Services" means the matrimonial introduction, matching, communication and related services provided through the Platform.

"User" means any person who visits, accesses or uses the Platform, whether registered or otherwise.

2. Acceptance of these Terms

2.1 These Terms constitute a legally binding agreement between you and the Company.

2.2 By creating an Account or otherwise using the Platform, you represent and warrant that:

you have read and understood these Terms

you have the legal capacity to enter into a binding contract

all information provided by you is true, complete and accurate

you shall comply with these Terms and all Applicable Laws

2.3 These Terms apply in addition to our Privacy Policy, Refund Policy and any other policies published by the Company from time to time. In the event of any inconsistency, these Terms shall prevail unless expressly stated otherwise.

2.4 The Company reserves the right to amend these Terms at any time. Updated Terms shall be published on the Platform together with the effective date. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

3. Nature of the Services

3.1 Thirumanam Matrimony Services is an online matrimonial platform designed to facilitate introductions between individuals seeking marriage.

3.2 The Company provides a technology platform only and does not act as:

a marriage broker

a marriage agency

a guarantor of compatibility

a relationship counsellor

an agent acting on behalf of any Member

3.3 The Company does not guarantee that:

any Member will receive suitable matches

any communication between Members will continue

any introduction will result in engagement or marriage

any Member is compatible with another Member

3.4 Any relationship developed through the Platform remains solely between the relevant Members.

4. Eligibility

4.1 You may register only if you satisfy all of the following requirements:

you are at least eighteen (18) years of age or have attained the age of majority in your jurisdiction

you possess the legal capacity to marry under the laws applicable to you

you are legally single, divorced, widowed or otherwise legally eligible to marry

you are not prohibited by any court order or Applicable Law from using matrimonial services

all information supplied by you is true, complete and not misleading

4.2 For Members residing in Malaysia, the Platform is intended solely for individuals who are legally eligible to contract a non-Muslim and Muslim marriage under the applicable laws of Malaysia. By registering, you represent and warrant that you satisfy this eligibility requirement.

4.3 The Company reserves the right to refuse, suspend or terminate any registration where it reasonably believes that a User does not satisfy the eligibility requirements under this Clause.

5. Registration and Account Verification

5.1 In order to access certain features of the Platform, you must create an Account.

5.2 During registration, you may be required to provide:

your full legal name

date of birth

gender

nationality

residential address

email address

mobile number

religion (where required for eligibility verification)

occupation

educational qualifications

marital status

recent photographs

such other information as the Company may reasonably require

5.3 The Company may require you to submit a copy of your NRIC, passport or other government-issued identification solely for identity verification, fraud prevention and regulatory compliance.

5.4 The Company reserves the right to conduct verification procedures before activating or maintaining your Account.

5.5 The Company may reject, suspend or terminate any Account where:

identity cannot be verified

false information has been supplied

forged documents have been submitted

duplicate accounts have been created without approval

the Company reasonably believes that continued access may expose other Members or the Platform to fraud, misuse or security risks

6. Membership Plans and Subscription

6.1 Membership Categories

The Company may offer one or more categories of membership, including but not limited to:

Free Membership

Premium Membership

Premium Plus Membership

such other membership plans as the Company may introduce from time to time

Each membership category shall provide access only to those features, benefits and services expressly specified by the Company on the Platform.

The Company reserves the right to modify, discontinue, replace or introduce membership plans at any time without incurring any liability, provided that such changes shall not adversely affect any existing paid subscription during its current subscription period unless required by law or circumstances beyond the Company's reasonable control.

6.2 Subscription Period

Paid Membership shall commence upon successful receipt of payment and shall remain valid for the subscription period selected by the Member. Unless otherwise expressly stated, membership shall automatically expire upon the expiry of the applicable subscription period.

Where automatic renewal is offered by the Platform, such renewal shall only occur where the Member has expressly authorised recurring payments.

6.3 Membership Benefits

direct messaging privileges

enhanced search filters

profile highlighting

priority customer support

personalised matchmaking assistance

visibility enhancement

access to exclusive events

such additional features as the Company may determine from time to time

6.4 No Guarantee

The purchase of any membership shall not constitute a guarantee that:

the Member will receive enquiries

suitable matches will be identified

communications with other Members will be successful

any meeting, engagement or marriage will occur

the Member's profile will receive a particular level of visibility

Membership fees are charged solely for access to the Platform and its premium features and not for any guaranteed matrimonial outcome.

7. Fees and Payment

7.1 Membership Fees

The Member shall pay all applicable membership fees, subscription charges, service charges, taxes and other applicable amounts as displayed on the Platform. All fees shall be quoted in Malaysian Ringgit (RM) unless otherwise specified.

The Company reserves the right to revise its pricing at any time. Any revised pricing shall apply only to new subscriptions or renewals and shall not affect an existing paid subscription already in force.

7.2 Payment Methods

Payments may be made using payment methods approved by the Company, including but not limited to:

credit cards

debit cards

online banking

FPX

e-wallets

payment gateways

any other payment method introduced by the Company

The Member represents and warrants that he or she is duly authorised to use the selected payment method.

7.3 Failed Payments

Where payment cannot be successfully processed, the Company may:

suspend the Member's access

downgrade the Account

cancel the subscription

retry the payment through the authorised payment provider

recover outstanding sums through lawful means

7.4 Taxes

Unless expressly stated otherwise, all fees are inclusive of applicable taxes. Where Applicable Laws require the collection of additional taxes, duties or governmental charges, such amounts shall be payable by the Member.

8. Refunds and Cancellation

8.1 General Policy

Except where expressly required under Applicable Laws, all membership fees, subscription fees and service charges shall be non-refundable. The Member acknowledges that access to premium features commences immediately upon activation of the membership.

8.2 No Refund

Refunds shall not be granted where:

the Member changes his or her mind

the Member has successfully accessed premium features

the Member fails to secure matches

another Member declines communication

a relationship does not progress

marriage does not occur

the Member becomes inactive

the Member fails to use the subscription before expiry

8.3 Exceptional Circumstances

The Company may, in its sole discretion and without creating any precedent, consider refund requests in exceptional circumstances including:

duplicate payments

technical failures solely attributable to the Platform

erroneous billing

fraudulent payment transactions verified by the relevant payment provider

Any refund approved shall be processed using the original payment method where reasonably practicable.

8.4 Cancellation by Member

The Member may cancel his or her Account at any time. Cancellation shall terminate future access to the Platform but shall not entitle the Member to any refund unless expressly required by Applicable Laws.

8.5 Cancellation by the Company

The Company may suspend or terminate any membership immediately where:

these Terms are breached

fraudulent activity is suspected

false information has been provided

illegal conduct is detected

payment has been reversed or charged back

the Member poses a risk to other Members or to the Platform

9. Member Representations and Warranties

Each Member represents, warrants and undertakes on a continuing basis that:

all information submitted is true, complete and accurate

photographs uploaded accurately depict the Member

the Member is legally eligible to marry

the Member is using the Platform solely for genuine matrimonial purposes

the Member shall promptly update any information that becomes inaccurate

the Member shall comply with these Terms and all Applicable Laws

the Member shall not impersonate any other person

the Member shall not create multiple Accounts without the Company's written approval

the Member shall not permit any third party to access his or her Account

the Member shall maintain the confidentiality of his or her login credentials and shall remain responsible for all activities conducted through the Account

10. Member Conduct and Acceptable Use

10.1 General Obligations

Each Member shall use the Platform responsibly, honestly and in good faith and shall at all times conduct himself or herself in a respectful, lawful and courteous manner.

Members acknowledge that the Platform is intended solely for genuine matrimonial introductions and agree not to use the Platform for any improper, unlawful or commercial purpose.

10.2 Prohibited Conduct

A Member shall not, whether directly or indirectly:

provide any false, inaccurate, misleading or incomplete information

impersonate another individual or misrepresent his or her identity, age, marital status, occupation, education, religion or any other material fact

upload photographs that do not accurately represent the Member or that have been materially altered in a manner that misleads other Members

create multiple Accounts without the Company's prior written approval

register an Account on behalf of another person without lawful authority

permit another individual to access or use the Member's Account

use another Member's information without consent

use the Platform for escort, dating-for-payment, companionship-for-hire or similar services

use the Platform to solicit investments, donations, loans, employment opportunities, business ventures or financial assistance

advertise or promote products, services, events or businesses

transmit spam, chain letters or unsolicited commercial communications

engage in harassment, bullying, stalking, intimidation, threats or abusive conduct

publish or distribute defamatory, obscene, offensive, indecent or hateful material

discriminate against any person based on race, religion, ethnicity, nationality, disability, gender or other protected characteristic

upload viruses, malware, ransomware, malicious code or any software intended to interfere with the operation of the Platform

attempt to gain unauthorised access to any system, server, database or network connected with the Platform

interfere with or disrupt the operation, integrity or security of the Platform

circumvent any security feature, authentication mechanism or access control implemented by the Company

use automated scripts, bots, crawlers, scrapers, spiders or similar technologies to access, extract or collect information from the Platform

copy, reproduce, distribute, harvest or compile information relating to Members without the Company's prior written consent

create derivative databases using information obtained from the Platform

use artificial intelligence systems, machine learning models or automated technologies to collect, analyse or reproduce any Content or Member information without the Company's prior written approval

reverse engineer, decompile or attempt to discover the source code of any software comprising the Platform except where expressly permitted by Applicable Laws

engage in fraudulent, deceptive or unlawful conduct

assist, encourage or facilitate any other person in committing any act prohibited under these Terms

10.3 Commercial Misuse

The Platform shall not be used for:

recruitment

marketing

insurance sales

real estate promotion

financial advisory services

political campaigning

religious solicitation

surveys or research

data collection

lead generation

any commercial activity unrelated to genuine matrimonial introductions

10.4 Compliance with Applicable Laws

Members shall comply with all Applicable Laws, including laws relating to:

cyber security

online communications

intellectual property

personal data protection

fraud

harassment

anti-money laundering where applicable

any other law governing the Member's use of the Platform

11. Member Profiles

11.1 Accuracy of Information

Each Member shall ensure that all information contained within his or her Profile remains true, complete and accurate at all times. Where any information becomes inaccurate or outdated, the Member shall promptly update the Profile.

11.2 Photographs

Photographs uploaded must:

depict the Member

be recent unless otherwise indicated

not contain offensive material

not infringe any third-party intellectual property rights

not contain advertisements or promotional material

not contain another person's image without that person's consent

The Company may remove any photograph that does not comply with these Terms.

11.3 Verification

The Company may verify Profiles using any reasonable verification method, including requesting:

government-issued identification

proof of age

proof of marital status

proof of occupation

proof of educational qualifications

recent photographs

video verification

any additional documentation reasonably required

Verification conducted by the Company does not constitute a guarantee that any information provided by a Member is complete, accurate or free from fraud.

11.4 Profile Review

The Company reserves the right, without prior notice, to:

edit formatting errors

remove prohibited material

reject Profiles

deactivate incomplete Profiles

remove duplicate Profiles

suspend suspicious Profiles

permanently delete Profiles that breach these Terms

12. Communications Between Members

12.1 Responsibility

Members acknowledge that all communications between Members occur at their own risk. The Company does not routinely monitor, verify, review or approve private communications exchanged through the Platform.

12.2 Prohibited Communications

Members shall not use the Platform to transmit:

abusive messages

sexually explicit material

threats

discriminatory remarks

defamatory statements

fraudulent representations

requests for money

investment proposals

phishing messages

malicious links

unlawful content

12.3 Financial Requests

Members shall not request, solicit or accept money, gifts, loans, investments or financial assistance from other Members through the Platform. Members are strongly discouraged from sending money or valuable property to any person introduced through the Platform. The Company accepts no responsibility for any financial loss arising from interactions between Members.

12.4 Reporting

Members are encouraged to immediately report any Profile or communication involving:

suspected fraud

impersonation

harassment

blackmail

extortion

requests for money

identity theft

abusive conduct

inappropriate behaviour

any conduct reasonably considered unsafe or unlawful

13. Offline Meetings

13.1 Independent Decisions

Any decision by Members to communicate outside the Platform or to meet in person shall be entirely voluntary and at their own discretion and risk. The Company neither arranges nor supervises meetings between Members unless expressly stated as part of a separate matchmaking service.

13.2 Safety

Members should exercise reasonable caution before meeting another Member, including:

verifying identity independently

meeting initially in public places

informing family members or trusted friends

arranging independent transportation

refraining from disclosing sensitive financial information

13.3 No Responsibility

The Company shall not be responsible for:

the conduct of Members outside the Platform

personal disputes

failed relationships

engagements

marriages

separations

divorces

criminal acts committed by Members

losses arising from offline interactions

14. Fraud Prevention and Platform Security

14.1 Investigation

The Company may investigate any activity which it reasonably suspects to involve:

fraud

impersonation

identity theft

scams

money laundering

unlawful activity

security breaches

violations of these Terms

14.2 Investigation Powers

For the purposes of any investigation, the Company may:

suspend Accounts

request additional documentation

restrict Platform access

preserve electronic records

review system logs

cooperate with payment providers

cooperate with law enforcement agencies and governmental authorities to the extent required or permitted by Applicable Laws

take any other action reasonably necessary to protect the Platform, its Members or its legitimate business interests

14.3 Preservation of Evidence

The Company may retain system logs, login records, communications, transaction histories and other electronic records for evidential, operational, regulatory or legal purposes for such period as it considers reasonably necessary or as required under Applicable Laws.

14.4 No Duty to Monitor

While the Company may investigate complaints and suspected misconduct, it shall not be under any obligation to proactively monitor every Profile, communication or activity occurring on the Platform. The Company's failure to detect or prevent any fraudulent, unlawful or inappropriate conduct shall not constitute negligence, breach of contract or any representation that the Platform is free from such conduct.

15. Intellectual Property Rights

15.1 Ownership

The Platform, including its software, source code, object code, databases, algorithms, user interface, website design, layout, graphics, logos, trademarks, service marks, business names, domain names, text, photographs, videos, audio, compilations and all other materials forming part of the Platform (collectively, the “Platform Materials”), together with all Intellectual Property Rights subsisting therein, are and shall remain the exclusive property of the Company and/or its licensors.

Nothing contained in these Terms shall operate to transfer any ownership or proprietary rights in the Platform Materials to any Member.

15.2 Limited Licence

Subject to these Terms, the Company grants each Member a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform solely for genuine matrimonial purposes during the period that the Member maintains an active Account.

This licence does not permit the Member to:

copy, reproduce or distribute any Platform Materials

modify, adapt or create derivative works

commercially exploit any Platform Materials

reverse engineer or decompile any software comprised in the Platform except where expressly permitted under Applicable Laws

remove copyright, trademark or proprietary notices

use the Platform Materials for any purpose other than the intended use of the Platform

15.3 Trademarks

"Thirumanam Matrimony Services", its logos, branding, trade dress and all associated marks are proprietary to the Company or its licensors. No Member shall use any trademark, service mark, logo or trade name belonging to the Company without the Company's prior written consent.

15.4 Feedback

Where a Member submits suggestions, recommendations, ideas, comments or feedback relating to the Platform or the Services ("Feedback"), the Member grants the Company a perpetual, worldwide, irrevocable, royalty-free, transferable and sublicensable licence to use, modify, reproduce, publish, commercialise and otherwise exploit such Feedback without restriction or compensation.

16. User Content

16.1 Ownership

Subject to these Terms, Members shall retain ownership of the Intellectual Property Rights subsisting in the Content uploaded by them.

16.2 Licence Granted to the Company

By uploading, submitting, transmitting or publishing any Content through the Platform, the Member grants the Company a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to:

host

reproduce

store

process

publish

display

transmit

distribute

reformat

resize

archive

otherwise use such Content

to the extent reasonably necessary for operating, maintaining, improving, marketing and administering the Platform and the Services. This licence shall continue for so long as reasonably necessary to fulfil the purposes for which the Content was submitted or as otherwise required under Applicable Laws.

16.3 Responsibility for Content

Each Member warrants that:

the Member owns or has obtained all necessary rights to upload the Content

the Content does not infringe the Intellectual Property Rights, privacy rights or other legal rights of any third party

the Content does not contain unlawful, defamatory, obscene, threatening or offensive material

the Content complies with Applicable Laws

The Member shall remain solely responsible for all Content uploaded through his or her Account.

16.4 Removal of Content

The Company may, without prior notice and without liability, remove, restrict, disable or refuse to publish any Content which, in its reasonable opinion:

breaches these Terms

infringes Applicable Laws

infringes third-party rights

is fraudulent or misleading

exposes the Company or other Members to legal or reputational risk

is otherwise inappropriate for publication on the Platform

17. Privacy and Personal Data

17.1 Collection of Personal Data

The Company may collect, use, process, disclose, transfer and retain Personal Data for the purposes of:

providing the Services

administering Accounts

identity verification

fraud prevention

customer support

payment processing

improving the Platform

legal and regulatory compliance

any other purpose described in the Company's Privacy Policy

17.2 Privacy Policy

The Company's collection, processing and disclosure of Personal Data shall be governed by its Privacy Policy, which forms an integral part of these Terms. By using the Platform, the Member acknowledges having read and agreed to the Privacy Policy.

17.3 Accuracy of Personal Data

Members shall ensure that all Personal Data submitted to the Company remains accurate, complete and up to date. The Company shall not be responsible for any consequences arising from inaccurate or outdated information provided by Members.

17.4 Disclosure

The Company may disclose Personal Data where:

required by Applicable Laws

required by any court, governmental authority or regulatory body

necessary to investigate fraud or unlawful conduct

necessary to protect the rights, property or safety of the Company, Members or third parties

reasonably necessary in connection with any corporate restructuring, merger, acquisition or sale of business

17.5 Security

The Company shall implement reasonable administrative, organisational and technical safeguards to protect Personal Data against unauthorised access, loss, misuse or disclosure. However, no internet-based system can be guaranteed to be completely secure. Accordingly, the Company does not warrant that unauthorised access, cyberattacks, data breaches or security incidents will never occur.

18. Electronic Communications

18.1 Electronic Notices

The Member agrees that the Company may provide notices, disclosures, invoices, reminders, confirmations and other communications electronically, including by:

SMS

in-platform notifications

push notifications

WhatsApp (where the Member has provided the relevant mobile number and consented where required)

publication on the Platform

Such communications shall satisfy any legal requirement that the communication be in writing.

18.2 Service Communications

The Company may contact Members regarding:

Account administration

security alerts

verification requests

subscription renewals

payment issues

complaints

fraud investigations

updates to these Terms

other matters relating to the operation of the Platform

18.3 Marketing Communications

Where permitted under Applicable Laws and subject to any consent requirements, the Company may send promotional materials regarding its products, services, events or offers. Members may opt out of receiving marketing communications at any time by following the unsubscribe instructions provided or by contacting the Company.

19. Third-Party Services

19.1 Third-Party Providers

The Platform may utilise or integrate services provided by third parties, including payment gateways, cloud hosting providers, identity verification providers, analytics providers and communication service providers. The Company does not control and shall not be responsible for the services, products, policies or practices of such third parties.

19.2 External Links

The Platform may contain links to third-party websites or services solely for convenience. The inclusion of any such link does not constitute an endorsement, recommendation or approval by the Company. Members access such websites entirely at their own risk.

19.3 Third-Party Terms

Use of third-party services may be subject to separate terms and conditions imposed by the relevant third-party provider. The Company shall not be liable for any loss arising from a Member's use of third-party services or websites.

20. Disclaimers

20.1 Platform Only

The Platform is an online technology platform designed to facilitate matrimonial introductions between Members. The Company does not act as:

a marriage bureau

a marriage broker

a marriage agent

a relationship counsellor

a matrimonial guarantor

an investigator

a background screening agency

an agent acting on behalf of any Member

The Company merely provides the technological infrastructure through which Members may create Profiles, search for potential matches and communicate with one another.

20.2 No Guarantee of Compatibility

The Company makes no representation or warranty that:

any Profile is suitable for a Member

any Member will receive enquiries

communications between Members will continue

introductions will result in meetings

meetings will result in engagement

engagement will result in marriage

any marriage will be successful or enduring

Compatibility is subjective and depends upon numerous factors outside the Company's control.

20.3 No Verification Guarantee

Although the Company may conduct identity verification or request supporting documentation, such verification shall not constitute:

a guarantee of identity

a criminal background check

financial due diligence

verification of marital status beyond documents provided

verification of educational qualifications

verification of employment

verification of assets or income

a certification that the Member is genuine

Members remain solely responsible for conducting their own independent enquiries before relying upon any information provided by another Member.

20.4 No Professional Advice

Information available through the Platform is provided for general informational purposes only. Nothing contained on the Platform constitutes legal, financial, tax, medical, psychological, counselling or relationship advice. Members should obtain independent professional advice where appropriate.

20.5 Availability

The Company shall use reasonable efforts to maintain the availability of the Platform. However, uninterrupted access cannot be guaranteed. The Platform may be unavailable due to:

scheduled maintenance

emergency maintenance

software updates

hardware failures

cyber incidents

telecommunications failures

force majeure events

circumstances beyond the Company's reasonable control

20.6 "As Is" and "As Available"

To the fullest extent permitted by Applicable Laws, the Platform and the Services are provided on an "as is", "as available" and "with all faults" basis. The Company expressly disclaims all warranties, representations and guarantees, whether express, implied or statutory, including any implied warranties relating to:

21. Limitation of Liability

21.2 Member Interactions

The Company shall not be liable for any loss, damage, injury or claim arising from:

communications between Members

offline meetings

relationships

engagements

marriages

financial dealings between Members

gifts exchanged between Members

loans made between Members

fraud committed by Members

criminal acts committed by Members

identity theft

impersonation

any act or omission of another Member

21.3 Internet Risks

The Company shall not be liable for any loss arising from:

hacking

phishing

malware

ransomware

denial of service attacks

internet failures

telecommunications failures

data interception

unauthorised access

system outages

other cyber security incidents beyond the Company's reasonable control

21.4 Aggregate Liability

Subject to Clause 21.5 and to the fullest extent permitted by Applicable Laws, the aggregate liability of the Company arising out of or in connection with these Terms, the Platform or the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total membership or subscription fees actually paid by the Member to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.

21.5 Non-Excludable Liability

Nothing in these Terms shall exclude or limit liability to the extent that such exclusion or limitation is prohibited by Applicable Laws, including liability for:

death or personal injury caused by the Company's negligence

fraud or fraudulent misrepresentation committed by the Company

any other liability which cannot lawfully be excluded or limited

22. Indemnity

22.1 Member Indemnity

The Member shall indemnify, defend and hold harmless the Company, its holding companies, subsidiaries, affiliates, directors, officers, employees, agents, contractors and representatives (collectively, the “Indemnified Parties”) from and against all claims, proceedings, actions, losses, damages, liabilities, penalties, fines, costs and expenses (including reasonable legal fees on a solicitor-and-client basis) arising out of or in connection with:

the Member's breach of these Terms

the Member's breach of Applicable Laws

Content uploaded by the Member

infringement of any Intellectual Property Rights or other rights of a third party

fraudulent, misleading or unlawful conduct

misuse of the Platform

disputes between the Member and another Member

bodily injury, property damage or financial loss caused by the Member

any negligent, wilful or wrongful act or omission of the Member

any claim brought by a third party arising from the Member's use of the Platform

22.2 Conduct of Claims

The Company shall have the right, at its sole discretion, to assume the conduct, defence or settlement of any claim subject to indemnification. The Member shall provide all reasonable assistance requested by the Company in relation to such claim.

23. Suspension and Termination

23.1 Suspension

The Company may immediately suspend, restrict or disable a Member's Account where it reasonably believes that:

these Terms have been breached

fraud is suspected

identity cannot be verified

payment has failed

a chargeback has occurred

unlawful activity is suspected

another Member's safety may be compromised

the integrity or security of the Platform may be affected

suspension is otherwise reasonably necessary to protect the Company, its Members or the Platform

Suspension may be temporary or permanent.

23.2 Termination by the Company

Without prejudice to any other rights or remedies available at law or under these Terms, the Company may terminate a Member's Account immediately upon written or electronic notice where:

the Member commits a material breach of these Terms

repeated breaches occur

false information has been knowingly provided

the Member engages in harassment, abuse, fraud or other misconduct

the Member uses the Platform for an unlawful or unauthorised purpose

continued access by the Member is reasonably considered detrimental to the Company, the Platform or other Members

23.3 Termination by the Member

A Member may terminate his or her Account at any time through the Platform or by submitting a written request to the Company. Termination shall not affect any accrued rights, outstanding payment obligations or liabilities arising prior to the effective date of termination.

23.4 Effect of Termination

the Member's right to access the Platform shall immediately cease

the Company may disable or remove the Member's Profile

outstanding fees shall remain payable

the Company may retain records where required by Applicable Laws or for legitimate business purposes

any licences granted to the Member under these Terms shall automatically terminate

23.5 Survival

Termination shall not affect the continued operation of any provision which by its nature is intended to survive termination, including provisions relating to:

Confidentiality

Indemnity

Limitation of Liability

Governing Law

Dispute Resolution

any accrued rights or obligations

24. Confidentiality

24.1 Confidential Information

For the purposes of these Terms, "Confidential Information" means all information disclosed by or on behalf of the Company or a Member, whether in written, electronic, oral or any other form, which is confidential by its nature or is designated as confidential, including but not limited to:

Personal Data

Member Profiles

private communications between Members

pricing information

business plans

software

algorithms

source code

databases

security procedures

trade secrets

commercial information

any information which a reasonable person would understand to be confidential

24.2 Confidentiality Obligations

Each Member shall:

keep all Confidential Information strictly confidential

use Confidential Information solely for the purpose of using the Platform in accordance with these Terms

not disclose Confidential Information to any third party without the prior written consent of the Company or the relevant Member, as applicable

implement reasonable safeguards to protect Confidential Information against unauthorised access, use or disclosure

immediately notify the Company upon becoming aware of any unauthorised disclosure or misuse of Confidential Information

24.3 Permitted Disclosure

A Member may disclose Confidential Information only where such disclosure is:

required by Applicable Laws

required pursuant to an order of a court of competent jurisdiction

required by a governmental or regulatory authority having jurisdiction

made with the prior written consent of the disclosing party

otherwise expressly permitted under these Terms

Where legally permissible, the receiving party shall promptly notify the disclosing party before making any compelled disclosure.

24.4 Member Information

Members acknowledge that Profiles, contact information and Personal Data obtained through the Platform are provided solely for the purpose of genuine matrimonial introductions. Members shall not copy, distribute, publish, sell, transfer, disclose or otherwise exploit such information for any commercial or unauthorised purpose.

25. Complaints and Dispute Resolution

25.1 Complaints

Any Member wishing to submit a complaint regarding another Member or the operation of the Platform may contact the Company through the designated customer support channels. The complaint should include sufficient information to enable the Company to conduct an appropriate review.

25.2 Investigation

The Company may, but shall not be obliged to:

investigate complaints

request supporting documentation

communicate with the relevant parties

temporarily suspend Accounts

remove Content

issue warnings

terminate Accounts

take any other action reasonably considered appropriate

The Company shall determine the manner and scope of any investigation in its sole discretion.

25.3 No Obligation to Adjudicate

The Company is not a court, arbitrator or mediator and is under no obligation to determine the merits of disputes between Members. Members remain solely responsible for resolving disputes arising between themselves.

25.4 Good Faith Resolution

Before commencing legal proceedings against the Company, a Member shall first notify the Company in writing of the dispute and allow the Company a reasonable period of not less than thirty (30) days to attempt to resolve the matter amicably. Nothing in this Clause shall prevent either party from seeking urgent interlocutory or injunctive relief where appropriate.

26. Governing Law and Jurisdiction

26.1 Governing Law

These Terms and any dispute, controversy or claim arising out of or in connection with these Terms, the Platform or the Services, including any question regarding their existence, validity or termination, shall be governed by and construed in accordance with the laws of Malaysia.

26.2 Jurisdiction

Subject to Clause 25.4, the parties irrevocably submit to the exclusive jurisdiction of the courts of Malaysia.

27. Force Majeure

27.1 Force Majeure Event

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to:

acts of God

floods

fires

earthquakes

pandemics

epidemics

war

terrorism

civil unrest

riots

strikes or industrial disputes

failure of telecommunications or internet services

cyberattacks

governmental actions

changes in Applicable Laws

any other event beyond the Company's reasonable control

27.2 Suspension of Obligations

The Company's obligations affected by a Force Majeure Event shall be suspended for the duration of the Force Majeure Event. The Company shall use reasonable endeavours to resume performance as soon as reasonably practicable.

28. Notices

28.1 Notices to Members

The Company may provide notices to Members by:

email

SMS

WhatsApp (where applicable)

in-platform notification

publication on the Platform

any other communication method provided by the Member

A notice shall be deemed received:

immediately upon publication on the Platform

upon transmission for in-platform notifications

twenty-four (24) hours after transmission by email

upon confirmation of successful transmission by SMS or other electronic messaging service

28.2 Notices to the Company

Any notice to the Company shall be sent to the contact details published on the Platform or such other address as the Company may notify from time to time.

29. Assignment

29.1 Assignment by the Company

The Company may assign, novate, transfer or otherwise deal with any of its rights or obligations under these Terms without obtaining the Member's prior consent, including in connection with:

a merger

acquisition

corporate restructuring

internal reorganisation

sale of business

transfer of assets

any similar corporate transaction

29.2 Assignment by Members

A Member shall not assign, transfer, novate or otherwise deal with any rights or obligations under these Terms without the Company's prior written consent. Any purported assignment in breach of this Clause shall be void.

30. General Provisions

30.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between the Company and the Member concerning the use of the Platform and supersede all prior agreements, negotiations, discussions, representations and understandings, whether oral or written.

30.2 Variation

The Company reserves the right to amend these Terms from time to time. Any amendments shall become effective upon publication on the Platform or on such later date specified by the Company. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

30.3 Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be illegal, invalid or unenforceable, such provision shall, to the extent necessary, be severed and the remaining provisions shall remain in full force and effect.

30.4 Waiver

No failure or delay by the Company in exercising any right, power or remedy under these Terms shall constitute a waiver of that right, power or remedy. Any waiver shall be effective only if made in writing and signed by the Company.

30.5 Cumulative Rights

The rights and remedies provided under these Terms are cumulative and are in addition to any rights or remedies available under Applicable Laws.

30.6 Relationship of the Parties

Nothing contained in these Terms shall be construed as creating any partnership, joint venture, agency, fiduciary relationship, employment relationship or other similar relationship between the Company and any Member.

30.7 Electronic Acceptance

The Member acknowledges and agrees that selecting an "I Agree", "Accept", "Register", "Subscribe", "Continue" or similar electronic confirmation button, or otherwise accessing or using the Platform, constitutes the Member's electronic signature and agreement to be legally bound by these Terms.

The Member further agrees that electronic records maintained by the Company, including system logs, audit trails, electronic acknowledgements and transaction records, shall be admissible as evidence to the fullest extent permitted by Applicable Laws.

30.8 Language

These Terms are prepared in the English language. If the Company provides a translated version for convenience, the English version shall prevail to the extent of any inconsistency, unless otherwise required by Applicable Laws.
